Actual allotment of share subscription warrants to shareholders
   Document published on 14/01/2010

In accordance with the resolutions adopted by the General Meeting of 18 December 2009, the actual allocation of the share subscription warrants to shareholders and the capital increase reserved for the STS Group was to take place after the regulatory period for creditors to dispute the capital reduction adopted as part of the ninth resolution.

Since no opposition to this capital reduction was presented, in its meeting of 14 January 2010 the Board of Directors decided to allot the share subscription warrants to the shareholders registered in the books at this date. The share subscription warrants shall be admitted for trading on Euronext Paris for a period of 12 months as from 15 January 2010, that is, until 15 January 2011 inclusive. It is reiterated that each share subscription warrant shall in this period give the right to subscribe to one new share at the price of EUR 0.30 per share.
NYSE-Euronext Paris has released the exact timetable for the operations as part of the notice issued on 13 January 2010, available at the Company website (www.risc-group.com).

Moreover, the Board of Directors shall meet tomorrow to record the subscription by STS Group to the capital increase reserved for this company in a total amount of EUR 10.85 million.

Copies of the prospectus validated by the AMF on 4 December 2009 under the number 09-361, consisting of the reference document filed on the same day under Nº 09-090 and a short-form prospectus, including the prospectus summary, are available free of charge at the registered office of Risc Group (7/11 rue Castéjà, 92100 Boulogne-Billancourt, France), at the internet site of the Company (www.risc-group.com) and the internet site dedicated to the Risc/STS operation (www.risc-group.com). The attention of shareholders is drawn to the risk factors described in Chapter 4 of the reference document and Chapter 2 of the short-form prospectus.
